Dairyland Garden Tractor Pullers, LLC Club Bylaws

ARTICLE I:  NAME & PURPOSE

Section A: Name – The name of this club shall be Dairyland Garden Tractor Pullers, LLC.

Section B: Purpose – The purpose of this club shall be:

  1. Provide quality pulling events for the northwest Wisconsin area
  2. Promote garden tractor pulling
  3. Provide family- orientated pulling events

ARTICLE II:  MEMBERSHIP, DUES, & OWNERSHIP

Section A: Eligibility – Membership shall be open to all garden tractor pullers, provided they fit into our classes and abide by all rules, upon payment of the dues as outlined in Section B.

Section B: Dues – Dues shall be $35 per year with t-shirt, $30 per year without t-shirt, and $30/ $25, respectively, for additional tractors per family.

 

Section C: Club Ownership – Each paid annual due reflects one share of club ownership. Accrual began with the 2017 pulling season. In the event of the club selling or otherwise disbanding, profits, if any, would be divided evenly between shares. Club shall retain records of names and contact information for all memberships, as listed on membership forms. If a stakeholder cannot be contacted within thirty days, their shares will be returned to the general fund and divided evenly. It is important to note that club ownership does not influence decisions within the organization, rather it serves strictly to divide profits. Elected club officials and current members, per Article III, will retain authority.

 

ARTICLE III:  OFFICERS

Section A: Officers – The officers shall be a President, Vice-President, Secretary, Treasurer, Board of Directors, and Safety/ Tech Officials.

Section B: Eligibility – Officers must be actively participating in the club, either directly with operation of a tractor, or by family relation, unless otherwise approved by majority vote of club.

Section C: Election – The officers shall be elected by verbal vote annually at the rules meeting.

Section D: Term – The officers shall serve for one season and their term of office shall begin at the completion of the rules meeting.

Section E: Vacancy – If a vacancy occurs in the office of President, the Vice-President shall assume the office for the remainder of the term and vacancies in any other office shall be filled by a special election.

Section F: Impeachment – Any officer can be removed from their position due to dereliction of duty or violation of club rules. A two-thirds vote of general club membership is required for impeachment.

ARTICLE IV:  DUTIES OF OFFICERS

Section A: President – It shall be the duty of the President to:

  • Preside at meetings
  • Vote only in case of a tie
  • Represent the club
  • Appoint committee chairpersons subject to the approval of the Board of Directors
  • Serve as an ex-officio member of all committees except the nominating committee
  • Perform such other duties as ordinarily pertain to this office

Section B: Vice-President – It shall be the duty of the Vice-President to:

  • Preside in the absence of the President
  • Perform such other duties as directed by president and as ordinarily pertain to this office

Section C: Secretary – It shall be the duty of the Secretary to:

  • Record the minutes of all meetings
  • Keep a file of the club’s records
  • Maintain a current roster of membership
  • Issue notices of meetings and conduct the general correspondence of the club

Section D: Treasurer – It shall be the duty of the Treasurer to:

  • Receive all funds and process Request for Payment, Deposit Slip, and Officer Signature Forms
  • Keep an itemized account of all receipts and expenditures and make reports as directed

Section E: Board of Directors – It shall be the duty of the Board of Directors to:

  • Uphold the club bylaws and current rules
  • Cast votes in elections and other club-related decisions
  • Promote the club positively and actively participate in club duties

Section F: Safety/ Tech Officials – It shall be the duty of the Safety/ Tech Officials to:

  • Enforce all current rules
  • Watch for infractions at pulling events and take appropriate actions

ARTICLE V:  MEETINGS

Section A: Meetings – The annual rules meeting will take place around the second Sunday of November, unless approved otherwise.

Section B: Special Meeting – Special meetings may be called by the President with the approval of the Board of Directors.

Section C: Quorum – A quorum shall consist of one-third of the Executive Committee.

Section D: Parliamentary Authority – Robert’s Rules of Orders, shall govern this club in all cases to which they are applicable and in which they are not inconsistent with these bylaws.

ARTICLE VI:  EXECUTIVE COMMITTEE

Section A: Responsibility – Management of this club shall be vested in an Executive Committee responsible to the entire membership to uphold these bylaws. Executive Committee has the authority to create and change rules as see fit, by a two thirds majority vote, provided the decision cannot wait for a vote by the entire club. President and Vice President will decide whether the vote must be presented to the club.

Section B: Membership – This committee shall consist of the President, Vice President, and Board of Directors.

Section C: Meetings – This committee shall attend the rules meeting and any other meetings called by the President.

 

ARTICLE VIII:  COMMITTEES

Section A: Planning committee – The President and Vice President will serve as the planning committee for the upcoming season, where they’ll review input from the previous season’s pull ratings, and club input, to complete a pulling schedule.

Section B: Sled Committee – The sled committee will meet before and throughout the season to clean, repair, and maintain the pulling sled, trailer, truck, and equipment. Since having this equipment in functioning and safe order is crucial to the operations of the club, the committee, in agreement with the president and treasurer, will have the authority to make changes as need be, without general club or Executive Committee approval.

Section C: Special Committees – The President shall have the authority to appoint any special committees, with the approval of the Executive Committee, from time to time as need demands.

ARTICLE IX:  AMENDMENTS

Section A: Selection – These bylaws may be amended by a two-thirds majority vote of the club membership in attendance at any general club meeting.

Section B: Notice – All club members shall receive advanced notice of any general club meeting. Meeting date, time, and location will be posted on the club’s website and Facebook page a minimum of 14 days prior to the meeting.
